About the issuer

Kolejkowo is a network of advanced mock-up exhibitions, presented in a modern form, which reproduce the world around us: picturesque villages, beautiful mountain areas or bustling cities. Moving models of trains, cars, ships or streetcars make guests feel as if they are observing real life from a bird’s eye view. We provide great fun for individual guests, whole families, as well as organized school trips.

Currently, Kolejkowo consists of four locations: three exhibitions, in Wroclaw, Gliwice and Warsaw, as well as a model factory in Jelenia Gora, which opened in March 2024. A tour path is also available at the model house. We plan to open more locations in Poland.

On the way to the WSE: Jakub Paczynski, CEO of Kolejkowo SA

Kolejkowo S.A. is a place where the everyday world gains a new miniature perspective. Our business is based on the creation and presentation of unique mock-up exhibitions – extremely detailed models that faithfully reproduce picturesque villages, bustling cities and peaceful mountain areas. Moving trains, cars, streetcars and ships bring these landscapes to life, allowing visitors to feel like observers of real life from a bird’s eye view.

Under the Kolejkowo brand, we operate a modern network of miniature parks that attract thousands of visitors every year. In addition to permanent exhibitions in Wroclaw and Gliwice, we have opened a model park in Jelenia Gora – a space that is both a place to create and a place to explore, offering visitors a unique path of discovery. Our plans do not end here – more locations in Warsaw and Gdansk will soon be established, enriching our offer.

Kolejkowo, however, is more than miniatures. It is a unique business model based on our values: relationships, co-creation, quality and timeliness. We make sure that each exhibition is not only a tourist attraction, but also an experience that connects art with emotions, inspires and delights.

Excellent marketing is a key element of success for us. With a presence on television, radio, press, the Internet, and on banners near our exhibitions, we effectively reach a diverse audience. Our visibility also grows through numerous publications and media interest – often without the need for paid support. We are also present at industry events, such as travel conferences, where we promote our brand and establish new relationships.

MANAGEMENT

Jakub Paczynski – President of the Board of Directors, term expires on December 31, 2030, and mandate expires on the date of the General Meeting of Shareholders approving the Company’s financial statements for 2030. Originator and founder of Kolejkov. Has been active in the tourism industry for more than 12 years. Owner of Karkonoskie Tajemnice in Karpacz. Takes an active part in the work of organizations promoting and coordinating tourism such as the Lower Silesian Tourist Organization (Board Member), Wroclaw Tourist Organization (Board Member), Tourist Council to the President of the City of Wroclaw (Member), Lower Silesian Chamber of Tourism (Board Member). Jakub Paczynski is a graduate of the University of Wroclaw, Faculty of Law and Administration, majoring in administration. Mr. Jakub Paczyński is not engaged in any activity outside the Issuer which could be of significant importance to the Issuer.

Katarzyna Paczynska – Member of the Management Board, her term of office expires on December 31, 2030, and her mandate expires on the date of the General Meeting of Shareholders approving the Company’s financial statements for 2030. She holds a degree in Social Communication and Journalism with a specialization in Public Relations, image building and creation. She also completed postgraduate studies in quality, security and information management. She is a certified internal auditor. She has been involved in the tourism industry since 2012. Owner of the Karkonoskie Tajemnice museum in Karpacz. At the Company, she is responsible for the sales department (product analysis and implementation) at exhibitions. In addition, she shapes and supervises the Company’s public relations policy and represents the Company at industry events. Ms. Katarzyna Paczynska does not perform activities outside the Issuer that could be of significant importance to the Issuer.

SUPERVISORY BOARD.

Włodzimierz Tyczyński – Chairman of the Supervisory Board, his term expires on December 31, 2030, and his mandate expires on the date of the General Meeting of Shareholders approving the Company’s financial statements for 2030. He has experience in leadership and management positions. Through professional experience and completion of specialized courses and seminars, he has extensive knowledge of sales management and commercial negotiations. He is qualified to sit on the supervisory boards of state-owned companies. He graduated from the AGH University of Science and Technology in Cracow with a degree in metallurgy. Mr. Włodzimierz Tyczyński is not engaged in any activity outside the Issuer which could be material to the Issuer. Mr. Włodzimierz Tyczyński meets the criteria for independence listed in the Act on Statutory Auditors, Audit Firms and Public Supervision dated May 11, 2017. Mr. Włodzimierz Tyczyński has no relations with a shareholder holding not less than 5% of the total number of votes at the Company’s general meeting.

Jaroslaw Korzycki – Member of the Supervisory Board, his term expires on December 31, 2030, and his mandate expires on the date of the General Meeting of Shareholders approving the Company’s financial statements for 2030. He has 25 years of experience in the construction industry. His career has been in project management, analysis and implementation of innovative solutions. In addition, he was responsible for measuring the effectiveness of certain projects and consulting related to their implementation. Mr. Jaroslaw Korzycki does not perform any activity outside the Issuer that could be of significant importance to the Issuer. Mr. Jaroslaw Korzycki meets the independence criteria listed in the Act of May 11, 2017 on auditors, audit firms and public supervision. Mr. Jaroslaw Korzycki has no relationship with a shareholder holding not less than 5% of the total number of votes at the Company’s general
meeting.

Karolina Makowska – Member of the Supervisory Board, term expires on December 31, 2030, and mandate expires on the date of the General Meeting of Shareholders approving the Company’s financial statements for 2030. Lawyer. He has been involved in the application of law since 2013 and has been running a law firm since 2016. She has experience in the area of business and financial law. She graduated in law from the Faculty of Law, Administration and Economics of the University of Wroclaw. Ms. Karolina Makowska does not perform any activity outside the Issuer that could be of significant importance to the Issuer. Ms. Karolina Makowska meets the independence criteria listed in the Act of May 11, 2017 on auditors, audit firms and public supervision. Ms. Karolina Makowska has no relationship with a shareholder holding not less than 5% of the total number of votes at the Company’s general meeting.

Bartosz Stebnicki – Member of the Supervisory Board, his term expires on December 31, 2030, and his mandate expires on the date of the General Meeting of Shareholders approving the Company’s financial statements for 2030. He has 25 years of experience in managing, selling and supervising companies in various industries. He holds a university degree. Mr. Bartosz Stebnicki does not perform activities outside the Issuer that could be of significant importance to the Issuer. Mr. Bartosz Stebnicki meets the criteria for independence listed in the Act on Statutory Auditors, Audit Firms and Public Supervision dated May 11, 2017. Mr. Bartosz Stebnicki has no relationship with a shareholder holding not less than 5% of the total number of votes at the Company’s general meeting.

Maciej Dobosz – Member of the Supervisory Board, his term expires on December 31, 2030, and his mandate expires on the date of the General Meeting of Shareholders approving the Company’s financial statements for 2030. Graduated from the Faculty of Architecture and Urban Planning at the Wrocław University of Technology in 2001 and completed postgraduate studies in Real Estate Valuation at the Wrocław School of Banking. He has been running his own business in the field of architecture for 24 years. Since 2019, co-owner and President of the Management Board of Śliwa Dobosz Architekci sp. z o.o. design office. A long-time investor in the stock market. Mr. Maciej Dobosz does not perform any activity outside the Issuer that could be of significant importance for the Issuer. Mr. Maciej Dobosz meets the independence criteria listed in the Act of May 11, 2017 on auditors, audit firms and public supervision. Mr. Maciej Dobosz has no relationship with a shareholder holding not less than 5% of the total number of votes at the Company’s general meeting.

Kolejkowo
is a brand that is constantly evolving, introducing innovative solutions and new attractions that inspire and delight our guests. In the adopted development strategy, we focus on strengthening our leadership position in the market.

Strategic Objectives:

Park with queues in Jelenia Gora
In the first half of 2026, an innovative park with queues carrying tourists will be built in Jelenia Gora, on a plot of land adjacent to our model factory. We estimate that this attraction will attract about 70,000 visitors a year, combining education with outdoor entertainment.

Gdansk – coastal exhibition
In the second half of 2026, we will invite visitors to a new location in Gdansk, where we anticipate annual visitor numbers of 180,000. This is a strategic step that will strengthen our presence in northern Poland.

Improving current exhibitions

We also focus on continuous improvement of our existing locations, accomplishing this through:

Expanding exhibitions and adding new interactive elements,
Organizing temporary exhibitions inspired by current events and themes,
Introducing technologies that engage visitors in unique ways.
New initiatives:

Products and workshops: We are expanding the range of our gadget stores, and introducing modeling workshops for young people and adults to engage our guests even more deeply.
Trade shows and collaborations: We plan to actively participate in trade shows and industry events to develop collaborations with institutions and partners, strengthening our position in the tourism market.
Kolejkowo’s development strategy is a response to the growing expectations of our guests. We aim to create places that attract with their appeal, but also offer unique experiences, education and inspiration.

Polish tourism market

According to a report by the World Travel and Tourism Council (“WTTC”), the value of Poland’s tourism economy in 2022 was estimated at about PLN 120.0 billion, a decrease of 9.5% compared to 2019. This accounted for about 4.0% of Poland’s gross domestic product (“GDP”). The forecast for 2023 puts the sector’s value at PLN 126.7 billion, which will mean an increase in its share of GDP to 4.2%. According to WTTC experts, the Polish tourism sector will be worth PLN 197.6 billion in 2033, and its share of GDP will be 5.2%.

According to the CSO, in 2022, Polish residents made a total of 74.4 million trips with at least one overnight stay (one person could make several trips) – up 18.9% y/y. Domestic trips predominated, with 61.2 million (up 10.9% y/y), including 34.8 million (up 12.4% y/y) short-haul trips (2-4 days) and 26.4 million (up 9.1% y/y) long-haul trips, i.e., lasting 5 days or longer. The number of foreign trips by Polish residents amounted to 13.2 million (up 77.3% y/y). Expenditures by Polish residents related to travel in 2022 amounted to PLN 86.6 billion (up 50.1% y/y), of which domestic trips with overnight stays accounted for PLN 42.1 billion (up 31.9%), foreign trips with overnight stays accounted for PLN 33.6 billion (up 95.2%), and foreign day trips accounted for PLN 10.9 billion (up 27.0%). It is also worth noting that spending on domestic trips with overnight stays accounted for 48.6% in total spending (down 6.7 p.p.). In 2022, the average expenditure of one person on a domestic trip lasting from 2 to 4 days was PLN 467 (a 21.9% increase), on a trip lasting 5 days or longer – PLN 1293 (a 16.9% increase).

In 2022, 71.8 million non-residents came to Poland and this was 40.7% more year-on-year, including 15.9 million tourists (64.0% more year-on-year) and 55.9 million one-day visitors (35.3% more year-on-year). Foreigners visiting Poland in 2022 incurred (before traveling at home and during their stay in Poland) expenses of PLN 44.8 billion, which was 56.6% more than in 2021. In the group of tourists, the highest expenses in connection with a trip to Poland were incurred by foreigners from Germany – PLN 8.0 billion (30.4% of total tourist spending in 2022), followed by Ukraine – PLN 3.3 billion (12.6%), the United States – PLN 2.5 billion (9.5%) and the United Kingdom – PLN 1.3 billion (4.8%).

As Statista.com points out, the average annual growth rate (CAGR) of global revenues in the travel and tourism sector is expected to be 4.42% between 2023 and 2027.

As the Polish Tourism Organization points out, amusement parks and theme parks are the fastest-growing tourist attractions on which a huge segment of the global tourism market is based. The tourism product of theme parks targets both children and teenagers, as well as adults. In the EMEA region (Europe, Middle East and Africa), total attendance fell by 66% in 2020 for the top 20 theme parks and 61% for the top 10 water parks. However, by 2021, all major amusement parks had already recorded a significant increase in attendance compared to 2020, with more than 1,500 major amusement parks and theme parks reporting activity in 2021, attracting 1.8 billion visitors and trading turnover in excess of €20 billion. Polish amusement parks in 2021 also recorded a significant increase in the number of visitors. A large part of them recorded a result better than before the pandemic i.e. in 2019. Poland’s largest amusement park recorded about 16% growth against 2019.
